Abstract

The article deals with the relationship between PLCs and shareholders under civil law. After having read the extensive scientific literature and the domestic legislation on the question, the author examines current problems such as the legal status of shareholders, the agency the­ ory and the responsibility of corporations.

The article consists of two parts. In the first part the au­ thor considers various approaches to the question of the legal nature of the relationship between PLCs and their shareholders.

In the second part the author gives his point of view on this issue. In particular, he thinks that the relationship be­ tween PLCs and their shareholders is not regulated by law, because it does not regulate the issue of infringement of the shareholders’ rights.
